Item 8.01. Other Events.
          On April 7, 2009, The TJX Companies, Inc. (the “Company”) completed the issuance and sale of $375 million aggregate principal amount of 6.950% Notes due April 15, 2019 (the “Notes”). The Notes were registered on Form S-3 under the Securities Act of 1933 (Registration Statement No. 333-158360) (the “Registration Statement”). In order to furnish certain exhibits for incorporation by reference into the Registration Statement, the Company is filing as an exhibit to this filing the First Supplemental Indenture dated as of April 7, 2009 relating to the issuance and sale of the Notes, including the form of Global Note attached as Exhibit A thereto.
