  DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS
     On October 7, 2005, the Board of Directors of The TJX Companies, Inc., or TJX, elected Amy B. Lane as a director of TJX. Ms. Lane was named a member of the Finance Committee and Corporate Governance Committee of the Board of Directors. Ms. Lane is presiding director of the Borders Group Inc., and a trustee of Federal Realty Investment Trust and of the MFS Funds (Massachusetts Financial Services). Ms. Lane was an investment banker from 1977 to 2002, including founding and leading both the Salomon Brothers and Merrill Lynch global retailing investment banking groups.
