On May 12, 2009, the Compensation Committee of the Board of Directors of HCC Insurance
Holdings, Inc. (the Company) adopted a policy providing that the Company will no longer enter
into any new or materially amended agreements with executive officers providing for excise tax
gross-up provisions with respect to payments contingent upon a change in control.
