Item 9. Regulation FD Disclosure.
On July 8, 2004, The Williams Companies, Inc. (“Williams”) announced that it signed a definitive agreement to sell three straddle plants in Western Canada to Inter Pipeline Fund of Calgary for $715 million Canadian, or approximately $540 million cash in U.S. funds, subject to closing adjustments. The parties are scheduled to close the transaction in the third quarter, pending regulatory approvals.
A copy of the press release announcing the same is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein.
