Item 1.01.
Entry Into a Material Definitive Agreement.
On September 5, 2006 Deckers Outdoor Corporation entered into Amendment Number Eight (the
“Amendment”) to its Amended and Restated Credit Agreement with Comerica Bank. The
Amendment includes elimination of the Borrowing Base formula requirement, extension of the
maturity date to June 1, 2008, and changes to certain covenant requirements.
We currently have no amounts outstanding under the credit facility.
The Amendment is included in this Current Report as Exhibit 10.1. The summary above is qualified
in its entirety by reference to such exhibit.
