cellcom israel announces ila+/stable rating reaffirmed for possible private offering of debentures in israel

 
Netanya, Israel – October 21, 2013 – Cellcom Israel Ltd. (NYSE: CEL) (TASE: CEL) (hereinafter: the "Company") announced today that in preparation for a potential private offering of a new series of debentures in Israel only, Standard & Poor’s Maalot reaffirmed an ilA+/stable rating for a new series of debentures of up to NIS 70 million that the Company may issue.
 
The execution, timing, terms and amount of such contemplated private offering have not yet been determined and are subject to a further approval of the Company's Board of Directors. There is no assurance that such offering will be executed, nor as to its timing, terms and amount.
 
For additional details of the Company's public debentures and debt raising see the Company's annual report for the year ended December 31, 2012 on Form 20-F filed on March 4, 2013, under "Item 5. Operating and Financial Review and Prospects – B. Liquidity and Capital Resources – Debt Service –– Public Debentures".
 
The contemplated offering described in this report, will be made, if made, in Israel to residents of Israel only. The said debentures will not be registered under the U.S. Securities Act of 1933 and will not be offered or sold in the United States.
