CELLCOM ISRAEL ANNOUNCES RESULTS OF GENERAL MEETINGS OF THE COMPANY'S SERIES A & C DEBENTURE HOLDERS
 
NETANYA, Israel, February 18, 2009 – Cellcom Israel Ltd. (NYSE: CEL) (the “Company”) announced today the results of the general meetings of the holders of the Company's series A & C debentures held on February 17, 2009 regarding  the replacement of the trustee for the holders, as follows:
The general meeting for the holders of the Company's series A debentures was adjourned due to the absence of the required quorum for holding the meeting. The adjourned meeting will take place at the same day, time and place the following week.
The general meeting for the holders of the Company's series C debentures did not approve the nomination of Reznik Paz Nevo Trusts Ltd. as a substitute trustee by the required majority.
 
Nomination of a substitute trustee shall further require the approval of an Israeli competent court. The current resigning trustee will continue to act as trustee until its replacement by the substitute trustee is so approved.
