Item 8.01.
Other Events.
On August 24, 2015, The Southern Company, a Delaware corporation (“Southern Company”), and AGL Resources Inc., a Georgia corporation (“AGL Resources”), issued a joint press release announcing that they had entered into an Agreement and Plan of Merger (the “Merger Agreement”), dated August 23, 2015, by and among Southern Company, AGL Resources and AMS Corp., a Georgia corporation and a wholly-owned subsidiary of Southern Company (“Merger Sub”), pursuant to which Merger Sub will be merged with and into AGL Resources on the terms and subject to the conditions set forth in the Merger Agreement (the “Merger”), with AGL Resources continuing as the surviving corporation in the Merger. As a result of the Merger, AGL Resources will become a wholly-owned, direct subsidiary of Southern Company.

Southern Company and AGL Resources will be providing supplemental information regarding the Merger through a teleconference with analysts and investors.
