Item 5.03  Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

Effective November 9, 2007, Dominion Resources, Inc. (the “Company”) amended its Articles of Incorporation (the “Amendment”) to increase the number of shares of common stock (the “Common Stock”) the Company is authorized to issue from 500,000,000 to 1,000,000,000.  The Amendment was filed in connection with and will effect the two-for-one split of the Company’s Common Stock previously announced by the Company.  A copy of the Articles of Amendment is attached hereto as Exhibit 3.
