As previously announced, Owens Realty Mortgage, Inc. (“ORM”) has entered into an Agreement and Plan of
Merger (the “Merger Agreement”), dated November 7, 2018, by and among ORM, Ready Capital Corporation (“Ready Capital”) and ReadyCap Merger Sub, LLC (“Merger Sub”), pursuant to which, subject to the terms and conditions therein, ORM will be merged
with and into Merger Sub, with Merger Sub continuing as the surviving company (the “Merger”). On February 8, 2019, a purported class action lawsuit was filed by an individual who claims to be a stockholder of ORM. The lawsuit, Richard Scarantino v. Owens Realty Mortgage, Inc., et al. (the “Scarantino Lawsuit”), was filed in the Circuit Court for Baltimore City, Maryland.
It names ORM, its directors and Ready Capital as defendants. The plaintiff alleges that the ORM directors breached their fiduciary duties because, according to the plaintiff, the consideration to be received by ORM’s shareholders in the Merger
“appears inadequate,” some financial and other disclosures to ORM’s stockholders regarding the Merger are deficient, and the terms of the Merger Agreement have precluded other bidders from making competing offers for ORM. The plaintiff seeks, among
other things: injunctive relief preventing the defendants from proceeding with, consummating, or closing the Merger; rescission of the Merger or rescissory damages if the Merger is consummated prior to entry of final judgment by the court; an
accounting of any damages suffered as a result of the wrongdoing he alleges; and litigation costs (including attorneys’ and expert fees and expenses). ORM and Ready Capital believe the claims asserted in the Scarantino Lawsuit are without merit.
