Item 7.01.
Other Events
On February 15, 2019, HomeStreet, Inc. (the "Company") announced that it has retained Keefe, Bruyette & Woods as an investment banker to seek buyers to acquire the stand-alone home loan centers and related origination personnel of its wholly owned subsidiary HomeStreet Bank. Additionally, the Company has retained MountainView Transaction Advisory, LLC to seek one or more buyers for the majority of its single family mortgage servicing rights principally related to those home loan centers and personnel. Following a sale of these operations, the Company expects to retain a smaller mortgage lending operation focused around the branch network, online, and through affinity relationships, but will no longer maintain a large scale mortgage banking business. A press release regarding this announcement is attached as Exhibit 99.1.

The information in this Current Report, including the press release furnished as Exhibit 99.1, shall not be deemed to be “filed” for purposes of Section 18 of the Securities and Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section, and shall not be incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing. The information provided herein shall instead be deemed “furnished.”
