Item 8.01 Other Events.
On April 1, 2019, KAR Auction Services, Inc. issued a press release announcing that it has received a favorable private letter ruling from the Internal Revenue Service with respect to the tax-free status of its previously announced spin-off of its Insurance Auto Auctions salvage auction business.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
