Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(e) On February 11, 2019, the Compensation Committee of the Board of Directors of Broadridge Financial Solutions, Inc. (the “Company”) granted a restricted stock unit award to Christopher J. Perry, the Company’s Corporate Senior Vice President, Global Sales, Marketing and Client Solutions (the “Special Grant”). The Special Grant was made pursuant to the Company’s 2018 Omnibus Award Plan.

Under the Special Grant, Mr. Perry was awarded restricted stock units with a grant value of $1,000,000, which will vest on the first anniversary of the grant date, subject to his continued employment through such date. All other terms of the Special Grant are consistent with the standard terms and conditions of the Company’s restricted stock unit awards for corporate officers.
