(1) | This grant was made pursuant to the issuer's non-employee director compensation policy and is compensation for the partial year of service from July 26, 2012, the date of the reporting person's first anniversary as a non-employee director, to May 30, 2013, the date immediately preceding the first anniversary of the issuer's 2012 annual meeting of stockholders. The reporting person was awarded a number of shares equal to (i) $105,821.92 (based on a $125,000 annual grant value prorated for 309 days of service as a director between the foregoing dates) divided by (ii) $48.055, the closing price of the issuer's common stock on July 26, 2012, the date on which the reporting person became entitled to the award.
