  Stockholder Meeting Notice

 

Cabot Corporation’s Annual Meeting of Stockholders will be held on March 7, 2019 at the Corporate Headquarters of Cabot Corporation, Two Seaport Lane, Suite 1300, Boston, Massachusetts, at 4:00 p.m. Eastern Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote FOR all the nominees listed and FOR Proposals 2 and 3:

  1.

Election of Directors:

01 - Michael M. Morrow, 02 - Sue H. Rataj, 03 - Frank A. Wilson, 04 - Matthias L. Wolfgruber

  2.

To approve, in an advisory vote, Cabot’s executive compensation.

  3.

To ratify the appointment of Deloitte & Touche LLP as Cabot’s independent registered public accounting firm for the fiscal year ending

September 30, 2019.

  4.

To transact such other business as may properly come before the Annual Meeting or any adjournment or postponement thereof.
