Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

P.W. (Bill) Parker, Vice Chairman and Chief Risk Officer of U.S. Bancorp (the “Company”), has informed the Company of his intention to retire later in 2018. A search is being conducted for his successor.
