Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 15, 2015, Paula A. Kuykendall, Senior Vice President and Chief Accounting Officer, notified Hilton Worldwide Holdings Inc. (the “Company”) that she is resigning from the Company effective December 31, 2015. Michael W. Duffy, Senior Vice President and Corporate Controller, became the Company’s Chief Accounting Officer effective September 16, 2015. Ms. Kuykendall’s resignation is not the result of any disagreement with the Company.

Mr. Duffy, age 35, has been with the Company serving in Controller and Assistant Controller roles since 2009. Prior to his tenure with the Company, Mr. Duffy served as a Senior Manager at KPMG LLP providing audit services to real estate, construction and hospitality clients. He is a Certified Public Accountant, a member of the American Institute of Certified Public Accountants and a Chartered Global Management Accountant.
