Other Events.

On August 7, 2014, CVS Caremark Corporation, a Delaware corporation (the “Company”), issued a press release announcing the commencement of a tender offer for any and all of its 6.250% Senior Notes due 2027 and up to a maximum amount of its 6.125% Senior Notes due 2039, 5.750% Senior Notes due 2041 and 5.750% Senior Notes due 2017, for up to an aggregate principal amount of $1,500,000,000. A copy of the press release is attached hereto as Exhibit 99.1.
