DEREGISTRATION OF SECURITIES

On October 4, 1999, the Registrant filed with the Securities and Exchange Commission (the “Commission”) a registration statement on Form S-3, Registration No. 333-88361 (the “Registration Statement”), for the sale by certain of the shareholders of the Registrant of up to an aggregate of 2,678,000 shares of common stock, par value $0.01 per share, of the Registrant.

On July 3, 2012, pursuant to the terms of the Agreement and Plan of Merger (the “Merger Agreement”), dated as of April 9, 2012, by and among the Registrant, Explorer Holdings, Inc. and Explorer Acquisition Corp., a wholly-owned subsidiary of Explorer Holdings, Inc., Explorer Acquisition Corp. merged with and into the Registrant, and the Registrant became a wholly-owned subsidiary of Explorer Holdings, Inc. (the “Merger”). As a result of the Merger, the offerings pursuant to the Registration Statement have been terminated. In accordance with an undertaking made by the Registrant in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the Securities registered under the Registration Statement that remain unsold at the termination of the offering, the Registrant hereby removes from registration the common stock registered but unsold under the Registration Statement.
