Item 4.01 Changes in Registrants Certifying Accountant.
(a) | Dismissal of Independent Registered Public Accounting Firm |
As previously disclosed by WMI Holdings Corp. (the Company) on its Form 8-K filed April 16, 2012, the Audit Committee (the Audit Committee) of the Board of Directors of the Company on April 10, 2012 approved the dismissal of Deloitte & Touche LLP (Deloitte) as the Companys independent registered public accounting firm, effective immediately.
This Form 8-K/A amends the Form 8-K filed by the Company on April 16, 2012 to confirm that Deloitte has acknowledged that the client-auditor relationship has ceased and to file Deloittes letter addressed to the Securities and Exchange Commission.
On April 12, 2012, the Company provided Deloitte with a copy of the disclosures it is making in response to Item 304(a) of Regulation S-K in this Form 8-K and requested that Deloitte provide the Company with a letter addressed to the Securities and Exchange Commission stating whether or not Deloitte agrees with the disclosures. A copy of such letter, dated April 20, 2012 is attached as Exhibit 16.1.
