Item 8.01. Other Events.

On December 21, 2011, the Indiana Utility Regulatory Commission (“IURC”) issued its Order in Northern Indiana Public Service Company’s (“Northern Indiana”) electric rate case (the “Order”). Northern Indiana is a wholly owned subsidiary of NiSource Inc. (“NiSource”). In the Order, the IURC accepted and approved the electric base rate settlement among Northern Indiana, the Indiana Office of Utility Consumer Counselor, Northern Indiana’s industrial customers and a coalition of municipalities.
