This Amendment No. 3 amends and supplements the Schedule 13D originally filed by Thomas O. Barnes (the “Reporting Person”), relating to the Common Stock, par value $0.01 per share (the “Common Stock.”) as amended by Amendment No. 1 to Schedule l3D filed on June 11, 2007 and Amendment No. 2 filed on January 29, 2008 (collectively the “Prior Filings”). Unless otherwise defined, capitalized terms used in this Amendment No. 3 shall have the meaning ascribed to them in Prior Filings.

 

Item 5. Interest in Securities of the Issuer

Item 5 is supplemented by adding the following:

 

(a) To the knowledge of the Reporting Person, as of October 26, 2010, there were 54,710,748 shares of Common Stock of Barnes Group Inc. as set forth in the Form 10-Q for the quarter ended September 30, 2010. The Reporting Person beneficially owned as of the date of this report 3,621,058 shares of Common Stock of the Company, representing 6.62% of the outstanding Common Stock.

 

(b) As of December 14, 2010, the Reporting Person has the sole power to vote or to direct the vote of 3,621,058 shares, sole power to dispose of 1,289,840 shares, and shared power to direct the disposition of 2,331,218 shares of Common Stock.

 

(c) On November 23, 2010, two of the trusts of which the Reporting Person is the Trustee disposed of 888,352 shares and 191,558 shares in gift transactions and the Reporting Person received 243,694 shares.

On November 30, 2010, one of the trusts of which the Reporting is the Trustee sold 2,270 shares of common stock on the New York Stock Exchange at a sale price of $19.1037 per share. The trust received $43.365.3990 as a result of this sale.

On December 1, 2010, the Reporting Person sold 80,000 shares of common stock pursuant to a 10b5-l trading plan on the New York Stock Exchange at a limit order price of $19.5185. The Reporting Person received $1,561,480 as a result of the sale.

 

(d) Other persons have the right to receive or the power to direct the receipt of dividends from, or the proceeds of the sale of the Common Stock. None of such other persons has any right or power relating to more than five percent of the total amount of Common Stock outstanding.
