On March 31, 2010, Flotek Industries, Inc. (the “Company”) issued a press release disclosing its financial results for the year ended December 31, 2009. The March 31, 2010 press release is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K.

 

Item 7.01 Regulation FD Disclosure.

The March 31, 2010 press release also disclosed that the Company had entered into an Amended and Restated Credit Agreement dated as of March 31, 2010, by and among the Company, the lenders identified therein and Whitebox Advisors LLC, as administrative agent for the lenders, and an Exchange Agreement dated as of March 31, 2010, by and among the Company, the guarantors identified therein and the investors identified therein.
