On April 17, 2008, Lakeland Bancorp, Inc. disseminated a press release reporting first quarter results for the period ended March 31, 2008. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

In the press release referred to in Item 2.02, the Company reported the following event. A $0.10 cash dividend was declared on April 16, 2008. The cash dividend will be paid on May 15, 2008 to shareholders of record at the close of business April 30, 2008.
