As previously disclosed by Motive, Inc. (“Motive”) in its Current Report on Form 8-K filed with the Securities and Exchange Commission (the “SEC”) on November 14, 2005, in November 2005, the SEC initiated an informal inquiry regarding Motive. The inquiry related to Motive’s restatement of its financial results and certain executive stock sales. Motive has been informed that the SEC’s inquiry is now a formal investigation. As in the past, Motive intends to cooperate with the SEC in connection with its investigation.
