ITEM 7.01 REGULATION FD DISCLOSURE
On April 29, 2005, Harken Energy Corporation (the “Company”) announced that the Company had sold 1,264,600 ordinary shares from its existing holdings in its subsidiary, Global Energy Development plc (“Global”), raising approximately $3.8 million in new capital for the Company. The sale to an institutional investor was conducted through a private sale at market prices. As a result of the sale the Company now holds 19,772,613 ordinary shares, representing 70.24% of the total issued share capital of Global.
