Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
On October 24, 2004, the Board of Directors of The Boeing Company (the Company), upon the recommendation of the Governance, Organization and Nominating Committee, elected Michael S. Zafirovski, President and Chief Operating Officer of Motorola, Inc., as a new director. Mr. Zafirovski will be proposed to shareholders at the 2005 Annual Meeting of Shareholders for election as a director to serve a three-year term. No determination has been made to date as to the committees of the Board on which Mr. Zafirovski will serve. There was no arrangement or understanding between Mr. Zafirovski and any other persons pursuant to which Mr. Zafirovski was selected as a director and there are no related party transactions between Mr. Zafirovski and the Company. A copy of the Companys press release announcing the election of Mr. Zafirovski is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
Item 5.03 Amendments to Articles of Incorporation or ByLaws; Change in Fiscal Year
On October 24, 2004, the Board of Directors amended and restated the Companys By-Laws by increasing the number of directors from ten to eleven and adding a new section for the appointment of a designated engineer in the State of Washington. A copy of the Companys By-Laws, as amended and restated, is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
