1 DSP Group, Inc. (“DSPG”) filed with the Securities and Exchange Commission (the “Commission”) a Schedule 13D dated as of May 30, 2000, that reported its ownership of 2,075,336 (subsequently adjusted to 4,150,672 pursuant to the stock split) shares of AudioCodes’ ordinary shares. In December 2000, DSPG purchased an additional 300,000 shares of AudioCodes’ ordinary shares. DSPG filed with the Commission a Schedule 13G (the “Schedule 13G”) dated as of January 9, 2004, that reported its ownership of 3,450,672 shares of AudioCodes’ ordinary shares. After the filing of the Schedule 13G, DSPG sold in the aggregate an additional one million shares of AudioCodes’ ordinary shares.
