Item 5.02.    Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
 
Marshall J. Morris, Chief Financial Officer and Vice President--Finance and Administration of the Company resigned November 16, 2004, effective November 30, 2004, to pursue other opportunities. Phillip DeZwirek, Chairman and CEO of the Company and CFO for approximately 10 years prior to Mr. Morris, will assume the responsibilities of CFO until a new CFO is appointed.
