MBIA Inc. (the “Company”) issued a press release on March 18, 2014. A copy of the press release is attached as Exhibit 99.1 hereto.

Item 8.01.     OTHER EVENTS.

The following information is being filed pursuant to Item 8.01 of Form 8-K.

On March 18, 2014, the Company announced that Standard & Poor’s Rating Services has upgraded its financial strength rating on MBIA Inc.’s primary financial guarantee insurance subsidiary, National Public Finance Guarantee Corp., to “AA-” from “A”.  At the same time, S&P upgraded the counterparty credit rating of MBIA Inc. to “A-” from “BBB”.  The outlook on both companies is stable.
