Item 1.01 | Entry into a Material Definitive Agreement. |
On March 12, 2013, athenahealth, Inc. and President and Fellows of Harvard College entered into a First Amendment to Purchase and Sale Agreement (the “Amendment”), which amended the Purchase and Sale Agreement between the parties dated December 5, 2012. The Amendment provides for, among other things, the extension of the due diligence period to April 12, 2013; the extension of the closing date from April 11, 2013, to May 10, 2013; and the addition of a further closing condition in the form of the delivery to athenahealth, Inc. of audited financial statements with respect to the property for the year ended December 31, 2012.
