Item 8.01 Other Events.
Effective December 17, 2014, LifePoint Hospitals, Inc. (the Company) entered into a trading plan (the Plan) in accordance with Rule 10b5-1 under the Securities Exchange Act of 1934 as amended (the Act), under which the Company may repurchase its shares at times when the Company would not ordinarily be in the market due to the Companys trading policies or possession of material non-public information. This plan has been established pursuant to, and as part of, the Companys stock repurchase program, which is effective through October 1, 2015, of which $100.0 million remained available as of December 17, 2014.
The Plan will expire on February 18, 2015, unless terminated earlier in accordance with its terms. The Company does not retain or exercise any discretion over purchases of common stock under the Plan. The timing and extent of the repurchases under the Plan are subject to SEC regulations as well as certain price, market volume and timing constraints specified in the Plan.
