Item 1.01              Entry into a Material Definitive Agreement.

 

On January 9, 2012, Capstone Turbine Corporation, a Delaware corporation (the “Company”), entered into Warrant Exercise Agreements with two holders (the “Holders”) of warrants to purchase an aggregate of 1,593,490 shares of the Company’s common stock, par value $0.001 per share, that were issued by the Company on January 24, 2007 (the “2007 Warrants”).  Pursuant to the Warrant Exercise Agreements, the Holders agreed to exercise the 2007 Warrants at the existing exercise price of $1.17 in exchange for fees in the aggregate amount of approximately $302,765. The net proceeds to the Company in connection with the exercise of the 2007 Warrants will be approximately $1,561,620.  As a result of these transactions, there will be 1,598,441 outstanding 2007 Warrants.
