Item 8.01                     Other Events

On April 2, 2007, Tenet Healthcare Corporation (the “Registrant”) issued a press release announcing that it has entered into a $10 million civil settlement with the Securities and Exchange Commission that will conclude the SEC’s investigations into the adequacy of the Registrant’s disclosures regarding Medicare outlier payments prior to November 2002 and the appropriateness of certain of the Registrant’s managed care contractual reserves.  A copy of the press release is attached to this report as Exhibit 99.1.
