(b) Departure of Director


On April 17, 2006, Griffin Land & Nurseries, Inc. (“Griffin”) filed a definitive proxy statement in connection with its 2006 Annual Meeting of Stockholders in which Griffin disclosed that John L. Ernst, a director of Griffin, has decided to retire from Griffin’s Board of Directors and therefore will not stand for re-election at Griffin’s 2006 Annual Meeting of Stockholders. Mr. Ernst has been a director of Griffin since 1997. David M. Danziger will stand for election to replace Mr. Ernst on Griffin’s Board of Directors.
