Item 8.01 Other Events

On March 27, 2008, the Circuit Court in the Florida 4th Judicial Circuit in and for Duval County, Florida in a case styled View Systems, Inc. vs. State of Florida, Dept. of State, Div. of Corporations, Case No. 2008-CA-001565-XXXX-MA, entered a default judgment for declaratory relief in favor of the Company.  The decree requires the Florida Department of State, Division of Corporations, to change immediately the date of filing of our Articles of Merger, to July 31, 2003, the date on which we first attempted to submit our Articles of Merger.  


During the third quarter of 2007, it came to our attention that there was a clerical communications error, which affected our efforts in 2003 to re-domicile our state of incorporation from Florida to Nevada. On July 31, 2003, we filed Articles of Merger in both Florida and Nevada to effect our re-domicile. However, on August 12, 2003 the Florida Secretary of State rejected our Articles of Merger. The Florida Secretary of State wanted original documents, not copies, which would be acceptable for computer imaging.  The Company re-filed the Articles of Merger with the Florida Secretary of State as requested. However, Florida filed our Articles of Merger as of August 29, 2003 instead of July 31, 2003; an event that escaped our attention for more than four years.


We filed a civil action to compel the correction of the filing date.  With the court’s entry of the judgment decree in favor of the Company, our change of domicile to Nevada has been made complete.  


View Systems, Inc. will now be able pursue the various corporate actions initiated several years ago including financings, SEC registrations, acquisitions, re-capitalizations and various other actions pending this correction.  View Systems, Inc. will call a shareholder meeting to review and ratify its Board of Directors recommendations.
