ITEM 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 8, 2010 Charles R. Strader submitted his resignation from the Board of Directors of DXP Enterprises, Inc. and his position as Senior Vice President of Strategic Initiatives.  Mr. Strader has elected to leave his employment and position as a Director of DXP for personal reasons and has offered to assist with the transition of his projects and responsibilities over the next three months.
